1. Orders
1.1 By requesting or accepting a quotation, or placing an order with Limmo Limited ("we", "us"), you (“the Customer”) agree to be bound by these Terms of Business for the sale of our products (“Goods”). We supply Goods to businesses and are not manufacturers; our liability is limited accordingly.
1.2 You confirm that you are ordering on behalf of a business, are over 18 years old, and have the authority to enter into a contract. Employers should notify us if their staff do not have such authority. These Terms apply only to business transactions, not consumer purchases.
1.3 These Terms are the only terms that apply unless expressly agreed in writing by us. Any statements, representations, or promises not authorised by our employees or agents in writing are invalid.
1.4 Each order or acceptance of a quotation constitutes an offer to purchase Goods subject to these Terms.
1.5 You are responsible for ensuring your order details and specifications are accurate; we are not liable for errors or omissions.
1.6 Quotations are valid for 7 days and may be withdrawn or amended at any time without notice.
2. Description
2.1 The Goods are described in our quotation and/or delivery note.
2.2 Any samples, drawings, specifications, catalogues, brochures, or website material are for illustrative purposes only and do not form part of the contract. This is not a sale by sample.
2.3 You are responsible for assessing the fitness of the Goods for your intended purpose, regardless of any inspection or testing offered.
2.4 Information regarding weights, measures, performance, or suitability is for guidance only and does not form part of the contract.
3. Prices
3.1 Prices quoted are valid at the date given. The price payable will be as per our price list on the delivery date (excluding VAT).
3.2 Unless stated otherwise, packaging is included in the price.
4. Delivery
4.1 We will endeavour to deliver within the indicated time, but delivery dates and quantities are not guaranteed. Failure to deliver on time does not entitle you to damages or order cancellation.
4.2 Delivery charges are included unless otherwise stated. Any additional costs incurred on your behalf must be reimbursed.
4.3 You are responsible for providing equipment and labour for unloading at the delivery point.
4.4 Delivery may be made in instalments by prior agreement.
5. Defective Delivery & Damage in Transit
5.1 If you fail to accept delivery or delay it, risk passes to you, the Goods are deemed delivered, and storage costs will apply.
5.2 Perishable Goods are non-refundable once delivered or attempted to be delivered.
5.3 Our liability is limited as set out in Clause 10.
5.4 Separate instalments are invoiced and treated as separate contracts; cancellation of one does not affect others.
5.5 Claims for shortages or defects must be made immediately upon delivery, before using, reselling, or modifying the Goods.
6. Cancellation
6.1 Cancellations are only accepted in writing and subject to reimbursement of all costs, expenses, and lost profits incurred up to that point.
7. Risk and Title
7.1 Risk passes to you on delivery, even if delivered to another location.
7.2 Ownership remains with us until full payment for the Goods and any other sums due is received.
7.3 Until ownership passes, you must:

Hold the Goods as our bailee;

Store Goods separately;

Maintain insurance;

Guarantee payment of any outstanding balances.
7.4 We may inspect or repossess Goods until payment is complete.
7.5 Resale before ownership passes is permitted only on trust to pay us the amount due.
7.6 Mixing or using Goods prior to ownership transfer requires our written consent and guarantees of payment.
7.7 Your right to possession ends immediately if you breach the contract, cannot pay debts, cease trading, or encumber the Goods.
8. Terms of Payment
8.1 Payment is due on order unless credit terms are agreed.
8.2 Credit accounts must be settled monthly by the 15th of the following month.
8.3 Payment is only complete when cleared funds are received.
8.4 Delays or disputes do not excuse prompt payment.
8.5 We may suspend further deliveries if payment defaults occur.
8.6 Late payments incur interest at 8% above the Bank of England base rate, accruing daily.
9. Liability
9.1 All implied warranties are excluded to the fullest extent permitted by law (except for death or personal injury caused by our negligence).
9.2 Our total liability is limited to the price of the Goods.
9.3 Faulty non-perishable Goods may be replaced or refunded, including delivery costs, if notified immediately.
9.4 We are not liable for indirect or consequential losses, including loss of profit or goodwill.
10. Quality & Warranty
10.1 Non-perishable Goods carry the benefit of any manufacturer’s warranty.
11. External Events
11.1 We are not liable for delays or failures caused by events outside our reasonable control (e.g., acts of God, war, strikes, epidemics).
11.2 Extra time is granted for delays caused by such events.
12. Intellectual Property
12.1 Use of our intellectual property is subject to our instructions. We may revoke permission at any time.
13. General
13.1 Failure to enforce any right is not a waiver.
13.2 All rights are cumulative.
13.3 If a provision is found illegal or unenforceable, it will be severed without affecting other terms.
13.4 You are liable for our legal costs in enforcing these terms.
13.5 This contract is governed by English law and subject to the exclusive jurisdiction of the Courts of England and Wales.
